WHAT IS REGULATION D?
Reg D is a federal program via the Securities Act of 1933, that allows companies the ability to raise capital by selling equity or debt securities.
WHAT IS A PPM?
A PPM is short for Private Placement Memorandum. It’s the disclosure document given to investors in lieu of an investment.
HOW DOES REG D WORK?
Reg D allows you to sell stock shares in your company to investors and you can use the capital for any business purpose, provided it is disclosed.
WHO USES REG D?
ANY COMPANY can use Reg D to raise capital, not just Wall Street Companies. Main Street Businesses can also use Reg D.
WHAT IS A SECURITY?
A security can be, Stock Shares, LLC Membership, Hedge Fund Interests, Limited Partnerships, Promissory Notes, Real Estate, Options, or Warrants.

Yes, but it is always prudent to hire a licensed attorney to write a professional private placement memorandum and file your SEC forms.
